Terms of Service
Last updated: October 29, 2026
1. Agreement to these Terms
These Terms of Service (the “Terms”) are a binding agreement between you and Disruptica LLC (“Evermach,” “we,” “us,” or “our”), the company that operates the Evermach website, dashboard, embeddable widget, AI agents that analyze and change code, MCP server, APIs, and related services (together, the “Service”).
By creating an account, installing the widget, connecting an integration, or otherwise accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization. If you do not agree, do not use the Service.
2. Definitions
- “Customer” means the individual or organization that registers for an account.
- “End User” means a person, such as a user of your product or a member of your team, who submits requests or feedback through a widget that a Customer has installed in its own product or website.
- “Customer Content” means the data, messages, attachments, repository content, design materials, business context, compliance settings, and other materials that you or your End Users submit to or make available through the Service.
- “Requests” means the structured items the Service creates from conversations with End Users and your team, which may be enriched with AI-generated analysis.
- “AI Output” means content the Service generates for you, including analysis, Requests, code, branches, and pull requests.
- “Credits” means the units of usage that metered features of the Service consume, as described in your plan or order.
3. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate account information and to keep it current.
You are responsible for safeguarding your account credentials and for all activity that occurs under your account, including actions your team members take and actions taken by AI clients you connect through our MCP server. Notify us promptly at [email protected] if you suspect any unauthorized use.
4. License to use the Service
Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during your subscription term. We reserve all rights not expressly granted.
If you run a self-hosted deployment of Evermach, your use of that deployment is governed by a separate written license agreement with us.
5. Acceptable use
You agree not to, and not to permit anyone to:
- use the Service in violation of any law or third-party rights, or to transmit unlawful, infringing, or harmful content;
- connect repositories, design files, or other sources that you do not have the right to share with us;
- use the Service or its AI agents to create malware, attack or probe systems you are not authorized to test, or circumvent security controls;
- upload malware, attempt to gain unauthorized access to the Service, attempt to escape or misuse the isolated environments where builds run, or interfere with the Service’s operation or security;
- reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent this restriction is prohibited by law;
- circumvent usage limits or Credit metering, or resell, sublicense, or provide the Service to third parties except as expressly permitted;
- scrape or use automated means to access the Service in a manner that exceeds reasonable use or that we have not authorized.
6. The widget and your End Users
You are solely responsible for the products and websites where you install the widget and for your relationship with your End Users. You must maintain your own privacy notice and obtain any consents required by law before collecting information from End Users through the widget.
As between you and Evermach, you control and are responsible for Customer Content, including End User submissions. We process that content on your behalf to provide the Service, as described in our Privacy Policy.
7. Integrations and repository access
The Service connects to third-party services you choose to enable, such as GitHub, Jira, Figma, Google sign-in, and AI clients that connect through our MCP server, as well as payment processing through Stripe. Your use of those services is governed by their own terms, and we are not responsible for third-party services or their availability. You authorize us to access and exchange data with those services as needed to provide the features you enable.
When you connect a GitHub repository, you authorize us to read its contents and, when your team starts a build, to create branches and open pull requests in that repository. We never merge pull requests or deploy code; your team decides what to merge and ship.
8. AI features, automatic builds, and code
The Service uses artificial intelligence to triage conversations, draft Requests, analyze your codebase, and, when your team starts a build, write code and open pull requests. Separate AI models review that code for correctness and security before the pull request opens.
AI Output is generated automatically and may be inaccurate, incomplete, or insecure, even after automated review. Code may contain bugs, security vulnerabilities, or material similar to third-party or open-source code. You are responsible for reviewing, testing, and validating AI Output, and for deciding whether to merge, deploy, or otherwise rely on it.
Drift Control™ and compliance checks are aids for your team. They are not an audit, certification, or legal determination that your product meets any framework or law (for example, SOC 2, HIPAA, or GDPR). AI Output is not professional, legal, security, or engineering advice, and we make no warranty regarding its accuracy or fitness for any purpose.
9. Ownership, AI Output, and feedback
You retain all rights in your Customer Content. As between you and us, you own the AI Output generated for you, and we assign to you any rights we have in it. Because AI models can produce similar output for different customers, other customers may receive output similar to yours, and we do not warrant that AI Output is free of third-party rights.
You grant us a worldwide, non-exclusive license to host, process, transmit, and display Customer Content solely to operate, secure, and provide the Service to you. We do not use Customer Content or AI Output to train artificial intelligence models.
We own all rights in the Service, including its software, design, and trademarks, including Evermach and Drift Control. If you send us suggestions or feedback about the Service, you grant us a perpetual, royalty-free license to use them without restriction or obligation to you.
10. Plans, Credits, and payment
- Plans and fees. Paid features are offered through plans that may include a subscription fee and Credits. Fees, billing frequency, plan limits, which features consume Credits, Credit amounts, expiry, and top-ups are described in your plan or order.
- Credits. Credits are shared across your organization, its projects, and its users. Credits have no cash value, cannot be transferred outside your organization, and, except where required by law, are non-refundable.
- Billing and renewal. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. We (or our payment processor, Stripe) will charge the payment method on file.
- Cancellation. You may cancel at any time; cancellation takes effect at the end of the current billing period, and you retain access until then.
- Refunds. Except where required by law, fees are non-refundable and there are no refunds or credits for partial periods, unused Credits, or unused features.
- Taxes. Fees are exclusive of taxes; you are responsible for any applicable sales, use, or similar taxes.
- Price changes. We may change fees on a going-forward basis with reasonable advance notice, effective at your next renewal.
11. Closed beta, trials, and preview features
The Service is currently offered as a closed beta. We may also offer free trials or features identified as beta, preview, or early access. These are provided “as is,” may be changed or discontinued at any time, and may be subject to additional terms.
12. Suspension and termination
We may suspend or terminate your access to the Service if you breach these Terms, fail to pay fees, or use the Service in a way that risks harm to us, other users, or third parties. You may stop using the Service and close your account at any time.
Upon termination, your right to use the Service ends. You are responsible for exporting any data you wish to keep before your account is closed. We delete Customer Content within 30 days after your account is closed, unless we must keep it longer to comply with law; copies in backups are deleted on our normal backup cycle. Pull requests and code already in your repositories remain yours. Provisions that by their nature should survive (including ownership, disclaimers, limitations of liability, and governing law) will survive termination.
13. Disclaimer of warranties
The Service and AI Output are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service or AI Output will be uninterrupted, error-free, secure, or compliant with any particular framework or law.
14. Limitation of liability
To the fullest extent permitted by law, Disruptica LLC and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to the Service or AI Output, including code you choose to merge or deploy.
Our total liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or (b) US $100.
15. Indemnification
You will defend, indemnify, and hold harmless Disruptica LLC from and against any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your Customer Content, the repositories and materials you connect, code you merge or deploy, your use of the Service, your products and websites, your End Users, or your violation of these Terms or applicable law.
16. Changes to the Service and these Terms
We may modify the Service or these Terms from time to time. If we make material changes to these Terms, we will update the “Last updated” date and, where appropriate, provide additional notice. Changes take effect when posted, and your continued use of the Service constitutes acceptance of the updated Terms.
17. Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You and Disruptica LLC agree to the exclusive jurisdiction and venue of the state and federal courts located in Broward County, Florida for any dispute arising out of or relating to these Terms or the Service. We encourage you to contact us first at [email protected] so we can try to resolve any concern informally.
18. General
These Terms, together with any order, any separate self-hosting license, and our Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
